Terms of Use

MIA Comercial (comercial.miaomnia.com) is a service of MIA OMNIA, S.A.S. ("MIA Omnia"), Lago de Chapultepec 400, Col. Capital Sur, C.P. 76246, Querétaro, Qro., Mexico. By using MIA Comercial you accept these terms. MIA is a sales assistant: it organizes your business's WhatsApp conversations and suggests replies, follow-ups and appointments.

Who can use it

MIA Comercial is a service for businesses and people over 18. It is not directed to minors.

Your account

Access is by invitation with your Google email. You are responsible for what is done with your account and for keeping access to your Google and WhatsApp accounts secure.

Your messages and your customers

MIA suggests; you decide. The messages you send to your customers, even if MIA suggested them, are your responsibility. Automatic features (such as the after-hours reply or reminders) only run if you turn them on. If you turn on automatic replies, you must identify them as automatic to your customers.

You must follow WhatsApp's and Meta's policies. You confirm that you have the consent of the people you message on WhatsApp, that you have your own privacy notice telling them you use technology providers, including artificial intelligence, to handle your conversations, and that you offer your customers a clear way to reach a person. MIA Comercial is a sales assistant specialized for your business; it is not a general-purpose chatbot.

Your customers' data

Your business is the controller of its customers' personal data. MIA Omnia processes it only as a processor, following your instructions and to provide the service; it does not use it for its own purposes, does not sell it and deletes it when the service ends. If your business processes sensitive data (for example, health data), you must obtain the express written consent the law requires.

WhatsApp and Google connections

Connecting your WhatsApp or your Google account is voluntary and you can remove it whenever you want.

Beta and costs

During the beta, MIA Comercial is free and we don't ask for a card; MIA Omnia covers the cost of the WhatsApp messages you send from MIA. We will give you at least 30 days' notice before the beta ends or before charging anything, and you decide whether to continue.

Availability

We do our best to keep MIA always working, but there may be interruptions. MIA is a support tool: review its suggestions before sending them.

Acceptable use

You may only use MIA to serve and follow up with your business's customers lawfully. You may not use it to send spam, unsolicited bulk messages, sexual, violent, discriminatory, deceptive or illegal content, to impersonate anyone, or to try to breach MIA or other people's accounts. We may suspend or cancel access immediately if we detect such use or a risk to the security of the service.

Artificial intelligence

MIA's suggestions, summaries, transcriptions and translations are generated with artificial intelligence and may contain errors or omissions. They are an aid, not professional advice (legal, tax, medical, financial or any other kind). You decide what is sent and you are responsible for reviewing it first.

Third-party services

MIA runs on third-party services such as WhatsApp and Meta, Kapso, Google, and artificial intelligence, hosting and internet providers. We do not control those services and are not liable for their failures, changes, fees, outages or decisions, including Meta limiting, blocking or suspending your WhatsApp number.

Security of your account

We apply reasonable security measures, but no system is infallible. You are responsible for protecting access to your Google account, your WhatsApp and your team's devices, and for telling us right away at christian@miaomnia.com if you suspect unauthorized use. We are not liable for damage caused by third parties accessing your account with your credentials or devices, or by third parties' unlawful acts (such as cyberattacks) where we applied reasonable measures. If an incident affects your data, we will notify you as required by law.

Limitation of liability

MIA is provided "as is" and "as available", without any guarantee that it will work without interruptions or errors. To the extent permitted by law, MIA Omnia is not liable for indirect damages, lost profits, or loss of sales, customers, data or reputation, nor for the content of messages sent from your account. In any case, MIA Omnia's total liability for any claim related to the service is limited to what you paid us in the 12 months before the event giving rise to it or, if you have paid nothing (for example, during the beta), to 1,000 Mexican pesos. Nothing here limits liability that cannot be limited by law, such as liability for willful misconduct.

Indemnity

You agree to defend and hold harmless MIA Omnia, its shareholders, officers and collaborators from any third-party claim, fine or lawsuit (including from your customers and authorities) arising from the messages you send, from not having your customers' consent, from misuse of your account or from breaching these terms or the law, and to cover reasonable defense costs.

Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, such as internet or provider outages, large-scale cyberattacks, natural disasters, power outages or acts of authority.

Trademarks

WhatsApp is a trademark of Meta Platforms, Inc.; Google Calendar and Google Contacts are trademarks of Google LLC; iPhone is a trademark of Apple Inc. MIA Omnia is not affiliated with or endorsed by them.

Privacy

The use of your information is governed by our privacy notice.

Changes

If we change these terms we will post the new version on this page with its date and, if the change is important, we will let you know by email or inside the app.

Governing law and courts

These terms are governed by the laws of Mexico. For any dispute, the parties submit to the competent courts of the city of Querétaro, Qro., and waive any other jurisdiction that may apply to them.

Severability

If any part of these terms is found invalid, the rest remains in effect.
